Affiliate Partnership Program Agreement for The Ascend AI Lab

This Affiliate Program Agreement (the “Agreement”) contains the complete terms and conditions that apply to an individual’s or entity’s participation in The Ascend AI Lab Affiliate Program (the “Program”).

As used in this Agreement, “we,” “us,” or “Company” means The Ascend AI Lab, and “you” or “Affiliate” means the applicant.

By submitting your application and participating in the Program, you agree to all terms and conditions of this Agreement.

1. Enrollment in the Program To begin the enrollment process, you must submit a complete and accurate Program application. We reserve the absolute right to approve or reject any application in our sole discretion. We may cancel your application if we determine that your site or promotional methods are unsuitable (e.g., promote illegal activities, violence, or discrimination, or violate our brand identity).

2. Affiliate Responsibilities

• 2.1. FTC & Legal Compliance: You MUST comply with all applicable laws and regulations, including the Federal Trade Commission’s (FTC) guidelines concerning endorsements. You must clearly and conspicuously state on all your promotional materials that you may receive compensation for your endorsement. This disclosure must be placed near the affiliate link, not hidden in a footer or separate page.
• 2.2. No Spam: You agree not to engage in any “spamming” (unsolicited mass email, mass newsgroup posting, etc.).
• 2.3. No False Claims: You may not make any false, misleading, or exaggerated claims about The Ascend AI Lab, our products, or our pricing. You may not offer unauthorized discounts, coupons, or rebates.
• 2.4. Brand Representation: You may not use our brand name (The Ascend AI Lab), persona name (Marcus Langley), or our trademarks in any way that implies you are an employee or official agent. You may not bid on our branded keywords in any pay-per-click (PPC) advertising system (e.g., Google Ads). You may not use our branding or logo on any site or social media profile that could be reasonably deemed offensive, in our sole discretion.

3. Commission & Payout

• 3.1. Qualified Sales: We will pay you a commission (as defined on our Affiliate Program page) for each “Qualified Sale.” A Qualified Sale is a purchase of a subscription by a new customer who clicks through your unique affiliate link and completes a purchase within the “cookie duration” (e.g., 30 days) and does not request a refund.
• 3.2. Exclusions: A sale is not a “Qualified Sale” if it is a self-referral (purchasing through your own link), fraudulent (e.g., stolen credit card), or a renewal of an existing subscription.
• 3.3. Refunds & Chargebacks: If a customer receives a refund or initiates a chargeback for a Qualified Sale you were paid a commission on, we will deduct that commission amount from your next payout.
• 3.4. Payout Schedule: Commissions will be paid on a net-30 basis (e.g., commissions earned in October are paid at the end of November) to allow for the refund period. A minimum payout balance (e.g., $100 USD) must be met before a payout is issued.

4. Relationship of Parties

• You and the Company are independent contractors. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or representations on our behalf.

5. Term and Termination

• The term of this Agreement begins upon our acceptance of your application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice.
• Upon termination, you must immediately cease using and remove all affiliate links, logos, and all other materials provided by us. Any commissions earned but not yet paid will be paid in the next payment cycle, provided they are not subject to refund deductions (Clause 3.3). We reserve the right to withhold your final payment for a reasonable time to ensure the correct amount is paid.

6. Limitation of Liability

• WE WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS, OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, OUR AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.

7. Indemnification

• You agree to indemnify, defend, and hold harmless The Ascend AI Lab and its officers, directors, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) that arise directly or indirectly from your breach of this Agreement or your negligence or willful misconduct in connection with the Program.

8. Disclaimers We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). We do not guarantee that our site or the affiliate platform will be uninterrupted or error-free.

9. General Provisions

• 9.1. Modification: We may modify any of the terms and conditions in this Agreement at any time in our sole discretion. We will notify you by email. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued participation in the Program following the notification will constitute your binding acceptance of the change.
• 9.2. Governing Law: This Agreement will be governed by the laws without reference to rules governing choice of laws.
• 9.3. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings.
