1. Introduction and Agreement to Terms

5. Use of AI Services & Generated Content

• User Input: You are solely responsible for the data, text, or other materials you provide as input to our AI Services (“Input”). You represent and warrant that you have all necessary rights to provide the Input.

• Ownership of Output: To the extent permitted by applicable law, and subject to these Terms, you will own the output generated by the AI Services based on your Input (“Output”). Ascend AI Lab may use the Input and Output to provide, maintain, and improve the Services and to develop new technologies.

• Accuracy: Artificial intelligence and machine learning are rapidly evolving fields. Given the probabilistic nature of machine learning, use of our Services may in some situations result in incorrect Output that does not accurately reflect real events or facts. You must evaluate the accuracy of any Output as appropriate for your use case, including by using human review.

6. Prohibited Activities

You agree not to use the Services to:

• Violate any applicable law or regulation.

• Engage in any activity that is fraudulent, false, or misleading.

• Infringe upon the intellectual property rights of others.

• Attempt to decompile, reverse engineer, or otherwise discover the source code of any part of the Services.

• Use any automated system to access the Services in a manner that sends more request messages to the servers than a human can reasonably produce in the same period.

ASCEND AI LAB HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ASCEND AI LAB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ascend AI Lab, its affiliates, and its respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of law principles.

11. Changes to the Terms
